Cashback Service Agreement

By clicking the "I have read and agree" option on the registration page and successfully completing registration, users are deemed to have fully read and accepted all terms of this Service Agreement, which constitutes a binding agreement between Otterpaw Studio Pte. Ltd. (Singapore company registration number 202348195G) ("Otterpaw","we", "us" or "our") and the User. The Cashback Service Platform is operated by Otterpaw, with services provided by Otterpaw or one or more of its affiliates.

 

1. Definitions

In this Agreement, the following terms shall have the meanings set forth below:

"Platform" means the Otta app through which we provide the Cashback Service.

"Account" means your personal profile on the Platform, which enables access to service features such as price comparison, order submission, reward tracking and redemption.

"Reward Points" means non-cash promotional credits recorded in your Account for tracking purposes only, which are displayed in the "Lifetime Earnings" section.

"User ID" means a unique, system-generated identifier assigned to your Account upon registration. It is not a login credential and cannot be used independently to access your Account.

"Merchant" means any third-party e-commerce platform (e.g., Lazada, Shopee) that participates in Otterpaw's affiliate or rewards program and provides an online marketplace for Retailers to offer products or services for sale to end consumers.

"Retailer" means an individual seller, brand store, or business entity that offers products or services for sale to end consumers through a Merchant.

"Force Majeure" means the events beyond Otterpaw's reasonable control, including but not limited to natural disasters, war, terrorism, government actions, major cyberattacks, pandemics, or critical third-party service outages.

 

2. User Representations and Warranties

You hereby represent and warrant to Otterpaw as follows:
(a) You are an individual consumer (and not a duly organized company or legal entity), and are entering into this Agreement for personal, non-commercial purpose only;
(b) You understand that access to reward features is subject to eligibility criteria (e.g., completion of a valid purchase), and that registration and placing an order does not automatically confer full service access;
(c) You will not create multiple accounts in one country, use automated tools, or engage in any activity intended to fraudulently exploit the Service;
(d) All information you provide during registration and use of the Service is true, accurate, and up to date.
(e) You are at least eighteen (18) years of age; and

(f) You confirm that your selected country is your current place of residence and that you comply with applicable local laws.

 

These representations shall remain true and accurate throughout the term of this Agreement. In the event you are unable to satisfy any of the above representations or warranties, you are required to cease your use of the Cashback Service Platform.

 

3. Service Description

We operate a price comparison and rewards platform that enables you to discover and compare products across multiple Merchants. When you click through our affiliate links to complete an eligible purchase on a Merchant's site, we may, at our discretion, grant you a loyalty reward for using our service, which will be recorded in your Account as Reward Points.

 

You acknowledge and agree that:
(a) All transactions occur solely between you and the Merchant on their platforms, pursuant to which the Retailer fulfills the order. We do not process payments, hold your funds, or act as a seller or payment intermediary for such transactions;
(b) Your rewards are promotional in nature, provided at our sole discretion, and do not constitute cash, monetary value, or a claim against us;
(c) Rewards are not withdrawable to bank accounts or e-wallets, and may only be redeemed in the form of selected vouchers or gift cards; and
(d) We reserve the right to modify, suspend, or cancel any reward at any time, with or without notice, including in cases of suspected fraud, abuse, or order cancellation.

 

4. Your Account

To access certain features of the service, you should sign in using a third-party account (e.g., Apple, Google, or Facebook). By signing in via a third-party account, you agree to be bound by this Agreement. Your selected country determines the products displayed, pricing currency and available Merchants.

 

If you use the same third-party account to register in different countries, each registration will create a separate account with a unique User ID, and Reward Points earned in one country cannot be accessed or redeemed in another. You may not log in directly using a User ID. All accounts must be created and accessed solely via third-party authentication providers specified above.

 

You acknowledge and agree that:

(a) You may only maintain one (1) account per individual per country. Creating or controlling multiple accounts to accumulate or redeem Reward Points is strictly prohibited;

(b) You are responsible for keeping your account credentials secure and for all activity that occurs under your account;

(c) We reserve the right to suspend or terminate your account, cancel any Reward Points, or void any redemptions if we detect fraud, abuse, misrepresentation, or violation of these Terms (including but not limited to automated scraping, fake purchases, or multi-accounting);

(d) While we strive to credit Reward Points accurately, you must review your reward history within 30 days of a qualifying transaction. We may, at our discretion, decline to address discrepancies reported after this period; and

(e) All Reward Points remain our property until redeemed and are provided as a discretionary loyalty benefit, not as a contractual entitlement.

 

5. Order Fulfillment

You acknowledge that we do not sell products or process payments. To make a purchase, you must click through a product link on our Platform to be redirected to the Merchant's website or app, where you will complete the entire transaction—including product selection, payment, and checkout—directly with the Merchant. All aspects of the purchase, including pricing, availability, payment processing, delivery, and customer support, are solely governed by the Merchant's terms and conditions.

 

6. Nature of Reward Points

For the avoidance of doubt, Reward Points are non-cash, discretionary promotional credits granted by us and funded from our affiliate commissions.

 

You acknowledge and agree that:

(a) You acquire no ownership, proprietary right, monetary value, or contractual entitlement in respect of any Reward Points at any time. We reserve the right to impose expiry period for the Reward Points; any Reward Points not redeemed by such expiry period shall be irrevocably forfeited by you.

(b) Reward Points do not constitute funds, assets, stored value, or money held by us—whether in trust or otherwise—and are not redeemable for cash, bank transfers, or e-wallet balances.

(c) Your ability to redeem Reward Points is a revocable benefit provided solely at our discretion and does not give rise to any claim against us beyond what is expressly set out in these Terms.

 

7. Earning Reward Points

To be eligible for Reward Points, you must:
(a) Initiate your purchase by clicking a product link on the Platform;
(b) Complete the entire transaction—including payment—directly on the Merchant's website or app; and
(c) Ensure the purchase complies with all applicable eligibility criteria set by us and the Merchant.

 

While we strive to support accurate tracking, you acknowledge that Reward Points may not be awarded if:

• You use ad blockers, private/incognito browsing mode, or disable cookies;
• You open other tabs or navigate away before completing the purchase;
• The Merchant's system fails to confirm the transaction as valid; or
• Technical limitations prevent proper attribution of your visit.

 

Reward Points are subject to a validation period during which the Merchant confirms order validity (e.g., the order has not been cancelled, returned, or refunded). Following this validation period, we reserve the right to deny or cancel Reward Points at any time if:

• The transaction is deemed ineligible under this section;
• Fraudulent, automated, or abusive behavior is detected (e.g., multi-accounting, fake purchases); or
• Information provided by you is inaccurate or misleading.

 

8. Restrictions on Reward Points
You acknowledge and agree that:

(a) The total value of unused Reward Points in your Account—displayed in the "Withdrawable Amount" section—must not exceed SGD 1,000 at any time. If this limit is reached, no further Reward Points will be credited to your Account until you redeem sufficient unused points to reduce it below SGD 1,000.
(b) Each Reward Point is valid for twelve (12) months from the date it is credited to your Account. Any unused Reward Points will automatically expire upon the expiry of this period and cannot be reinstated.

 

9. Redemption of Reward Points

You may redeem your Reward Points at any time, subject to these Terms and any specific conditions applicable to individual rewards (e.g., expiry dates or merchant restrictions).

 

To be eligible for redemption:
(a) Your accumulated Reward Points must meet or exceed the minimum redemption threshold as displayed in-app or communicated by us from time to time; and
(b) Your account must be active and in good standing;

 

Reward Points can only be redeemed for limited-purpose digital gift cards or vouchers issued by third-party partners (e.g., GrabGift, PayPal Gift Card). No cash, bank transfers, e-wallet top-ups, refunds, or exchanges are currently permitted.

 

For security and anti-abuse purposes, we may impose reasonable limits on the number or value of redemptions within a given period. All redemptions are final—no returns, no exchanges, and no cancellations once processed.

 

10. Account Deletion, Suspension and Termination

You may delete your account at any time through its settings.

 

We reserve the right to suspend or terminate your account at any time if:
(a) You violate these Terms or engage in fraudulent, abusive, or automated activity;
(b) Required to comply with applicable laws, regulations, or legal process; or
(c) Necessary for security, operational, or business reasons.

 

Upon termination, any unredeemed Reward Points will be immediately cancelled. This does not affect any gift cards already issued to you, which remain subject to the terms of the issuing partner.

 

11.Account, Password, and Security

You are fully responsible for account security and the confidentiality of your login credentials, and all activities under your account. We assume no liability for unauthorized access due to your negligence. Passwords can be changed at any time by you through the User's dashboard.

 

12.Disclaimer of Warranties

The Platform, including its price comparison features and Reward Points program, is provided "as is" and "as available", without any warranties of any kind, whether express or implied. To the fullest extent permitted by law, Otterpaw expressly disclaims all warranties, including but not limited to:
(a) Accuracy, completeness, or timeliness of product prices, availability, or Merchant information;
(b) Uninterrupted, secure, or error-free operation of the Platform or reward tracking;
(c) That Reward Points will be awarded for any qualifying purchase;

(d) Merchant terms or availability; and
(e) Non-infringement of third-party rights.

 

You acknowledge and agree that:

(a) All purchases are made directly with Merchants, through which the Retailer offers products or services. We do not control, endorse, or guarantee any products, services, pricing, delivery, or customer support;

(b) Reward Points are granted at our sole discretion and depend on successful tracking and validation by the Merchant—factors beyond our direct control;

(c) You use the Platform at your own risk, and we shall not be liable for any loss or damage arising from:
(i) your use of ad blockers, private browsing, or disabled cookies;
(ii) technical issues on the Merchant's site or network;
(iii) inaccurate or incomplete information you provide;
(iv) force majeure events (e.g., natural disasters, government actions, or internet outages); or
(v) any indirect, incidental, or consequential losses (including lost Reward Points, missed promotions, or opportunity costs).

 

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be lawfully excluded under applicable law.

 

13.Personal Data Protection

Your personal data is collected, used, and disclosed in accordance with the Personal Data Protection Act 2012 (Singapore) and our Privacy Policy, which is incorporated herein by reference.

 

14.Notices

Important updates (e.g., term changes, service modifications) will be communicated via in-app announcements, messages, or email.

15.Amendments to Service Terms

We reserve the right to amend this Agreement from time to time to reflect changes in its services, operational requirements, or applicable laws. Unless otherwise stated, all amendments shall take effect seven (7) days after notification. Your continued use of the services after the effective date of the amended terms shall constitute acceptance of such amendments.

 

16.Applicable Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be submitted to and finally resolved by arbitration administered by Singapore International Arbitration Centre (SIAC) under the SIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Singapore. The arbitration proceedings shall be conducted in English.

 

17. Severability
If any provision of this Agreement is held by a court of competent jurisdiction to be unlawful, invalid, or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

 

18. Entire Agreement
This Agreement (including the Privacy Policy incorporated herein) constitutes the entire understanding between you and Otterpaw regarding the Service and supersedes all prior or contemporaneous oral or written communications, advertisements, or representations.
